Terms And Conditions

Agreement

Parent Teacher Online (PTO) is offered to you by Parent Teacher Online Limited (Registered Number 08079855), a wholly owned subsidiary of Educonnex Pty Limited (Educonnex), conditioned on your acceptance without modification of the terms and conditions contained herein.

Your use of PTO constitutes your agreement to these terms and conditions. Educonnex reserves the right to change these terms and conditions, and undertakes to notify you by email if this should occur. A Client must complete the new school registration process and provide Educonnex with current, complete, and accurate information as set out in the PTO Registration Form.

Security and Privacy

All users are entirely responsible for maintaining the confidentiality of their password and User ID.

Furthermore, the users are entirely responsible for any and all activities that occur under their account. Users agree to notify Educonnex immediately of any unauthorised use of your account or any other breach of security. Educonnex will not be liable for any loss that users may incur as a result of someone else using your password or account, either with or without your knowledge.

However, users could be held liable for losses incurred by Educonnex or related parties if users provide unauthorised access to another person or unauthorised party. Users may not use anyone else’s account at any time.

Setup Fee

A “Set Up” Fee must be paid once at the commencement of the use of PTO.

This fee is only charged once in the lifetime of the school on the basis that PTO is used at least once within each 12 month billing period. The billing year is each 12 month period, based on the date and month of your initial PTO registration.

Educonnex reserves the right to charge a client a new Set Up Fee if PTO is not used at least once in each billing period, or if a Client cancels their subscription and re-subscribes at a later point in time.

Annual Subscription

An Annual Subscription will be liable, and payable for 12 months access to PTO.

The first 12 month period is measured from the date that the PTO service Registration Form is received by Educonnex from the Client.
At the conclusion of each 12 month period, any of the Client’s nominated PTO administrators will be required to complete a renewal of the subscription, for the next 12 month Annual Subscription period.

This renewal process must be completed each year before regular administrative access to PTO is restored for the next year. Subsequent 12-month periods for an Annual Subscription will commence from the date that the renewal process is completed.

The Annual Subscription Fee will vary from time to time in line with Educonnex subscription pricing, as well as any written agreed arrangements between the parties, which includes email communications. Invoices for an Annual Subscription will be issued at the commencement of parent bookings for the first event within the 12 month period.

All invoices for PTO are payable within 7 days of issuance. Educonnex reserves the right to terminate a Client’s access to PTO where invoices are more than 1 month overdue, such termination may lead to the irretrievable deletion of existing data.

Other Fees & Charges

Other fees and charges including those related to the provision of other services, or services provided by third parties, may become liable from time to time. Any such charges will be advised in writing prior to provision of the product or service.

Contract Terms

Subject to assessment by Educonnex, a Client may opt to enter into a contracted term. Should the Client wish to terminate their service prior to the expiry of the contracted term, Educonnex retains the right to immediately receive in full any remaining unpaid Annual Subscription charges up until the scheduled expiry date of the contracted term.

Intellectual Property

In consideration of Educonnex providing access to certain Confidential Information of the software service, Intellectual Property and Expertise, this information and access to such files is to be kept strictly confidential. You agree not to use, transmit, print, or copy any information with the only exception being for internal organisational training purposes.

Advertising

The Client may not use access to PTO to provide any promotional or advertising information unless it is directly related to the school or school events, unless prior written approval is obtained from Educonnex.

Liability

To the maximum extent permitted by law, Educonnex accepts no responsibility for any loss or damage caused from the use of its software or services. Educonnex accepts no responsibility for the quality of the data supplied by the Client.

It is the Client’s responsibility to provide Educonnex with accurate and up to date data.

Notwithstanding the foregoing, the sole and entire maximum liability of Educonnex for any reason will be limited in respect of any one cause or claim to the amount paid by the Client for the PTO service in the previous 12 months.

Third Party Products & Services

Educonnex offers no warranty in relation to third party products or services. Those being products or services provided by parties other than Educonnex. Educonnex makes no representations as to whether products or services of third parties will meet a Client’s requirements. Additionally Educonnex offers no guarantees as to the suitability of or reliability of any 3rd party products or services.

The Client agrees that it indemnifies Educonnex for any damages or consequential damages due to faulty products or services that do not perform to the manufacturer’s specification. The Client agrees that it will not seek compensation from Educonnex for damages resulting from the failure of any product in any way.

Governing Law & Jurisdiction

This agreement is governed by the laws of New South Wales.

You hereby irrevocably consent to the exclusive jurisdiction and venue of courts in Sydney, Australia in all disputes arising out of or relating to the use of PTO. Use of PTO is unauthorised in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.

If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, liability limitations set out above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Privacy

Information collected by each party will be retained or disposed in accordance with the requirements of the Client, or any other statutory requirements. Educonnex retains all PTO archived information indefinitely unless otherwise directed. Educonnex’s detailed Privacy Policy can be accessed at: https://parentteacheronline.co.uk/privacy-policy/

Support

Support is available to a Client where PTO does not perform in the manner it is designed to perform.

Any other support services are provided at the discretion of Educonnex with the aim of assisting clients with any process they could not reasonably complete themselves.

Requests for support and/or training outside of the above will incur a charge in line with Educonnex’s standard hourly support or training charges at the time, in relation to the nature of any additional service sought. Any work incurring additional charge will be quoted prior to commencement of the work.

Such requests may take the form of, but are not be limited to:

1. any Supported Data Upload Requests where a client seeks Educonnex staff support to validate their data in terms of PTO’s standard requirements (as outlined in our Help Documentation) that requires more than 15 minutes of preparation work by Educonnex staff;

2. any manipulation, or merging of data to validate data in terms of PTO’s standard requirements as outlined in our Help Documentation; or

3. any data corrections, updates, or additions of further data to a client’s data requested by a Client for any reason, carried out by Educonnex staff.

Succession

These terms and conditions will succeed for two years after the completion of services provided.
